Contracts+: Non-Disclosure Agreement

The Non-Disclosure Agreement (NDA), or Confidentiality Agreement may be used when the University is providing or receiving non-public information from another party.  An NDA is most commonly used when parties wish to exchange sensitive information related to a potential business relationship before another type of agreement such as a services agreement can be negotiated. An NDA may be used in any situation, where the University or a partner wishes to restrict the disclosure or use of non-public information that is being shared.

 The NDA generally describes what information will be shared between the parties, how the parties may use the shared information, and how long the parties will be bound by the terms of the agreement. Where both parties will share their confidential information with the other party, a mutual confidentiality agreement that protects the information of both parties should be used.  When only one party is sharing confidential information, a one-way confidentiality agreement that only protects the party sharing the information may be more appropriate.
